As a reality developed only in recent years, thanks to new technologies, it attracts a few curiosity and questions. But what is a start-up?
This term means companies, including small companies, which are distinguished in order to carry out research, production and marketing activities of high-content innovative products and services and technological value.
These companies have their own characteristics such as a minimum duration of 5 years, since the start-up status is only temporary. This means that this period is mainly geared to the exploitation of resources invested in the development of an innovative product or service. To this end, the State reserves special facilities for the purpose of achieving innovative and highly technological ideas.
Another of the key features for a start-up is scalability. This must also make it possible to increase its volumes in relatively short time. So its growth potential is considerable despite the number of resources, it is quite limited. Furthermore, the start-up responds to a market requirement, therefore, it is important that it responds to the demand for innovation.
But what does it take to start a start-up?
Having an innovative and technological idea is the basis for developing its start-up.
But that is not enough, because it also needs to be associated with a good business plan, which represents the objectives of the company and its business model.
But before we start it, we must check that there are the necessary requirements.
The start-up must have a form of company (Srl, Spa or Cooperative Society), which cannot be a sole proprietorship nor belong to a branch of a larger company. or derive from the transfer of business activities. It cannot be listed on the stock exchange and it must have its registered office in Italy, in an EU country, or in one that has joined the European Economic Area Agreement.
Its total revenue, in the five years of activity, cannot exceed 5 million euros and profits cannot be distributed before the start-up is removed from the register. These requirements are then added those relating to the minimum share to be allocated to project development and research, the qualification level of the staff, and the availability of an industrial property title, such as copyrights and patents.
Once these requirements have been evaluated, the drafting and signing of the deed of incorporation and the bylaws will follow. Subsequently, the company must be registered with the Revenue Agency by a notary. However, there is an alternative to this. In fact, only and exclusively in the case of an SRL, it is possible to establish a company through the specific online portal available on the Infocamere platform with its “Create your Start-up” service. At the end of the registration process, the bylaws and deed of incorporation will be drawn up.
At this point, you will only need to register your company with the Revenue Agency and in the Business Register.
Creating a start-up is not complicated: what matters is a good idea and someone who can help you make it a reality and knows how to do it.
